By creating an account or subscribing to Neighborhood Value Plus, you agree to the following terms. These rules cover your subscription, voting, community features, family accounts, youth services, contractor relationships, and everything else that makes our platform work. Please read them carefully.
Terms of Service

Welcome to Neighborhood Value Plus — here are the ground rules.
These Terms of Service ("Terms") are a legally binding agreement between you and Neighborhood Value Plus LLC ("Neighborhood Value Plus," "we," "us," or "our"). They govern your access to and use of the Neighborhood Value Plus platform, including the website at neighborhoodvalueplus.com, the Neighborhood Value Plus mobile application, and all related services, features, and content (collectively, the "Platform").
By creating an account, subscribing to the Platform, or using any of our services, you agree to these Terms. If you do not agree, please do not use the Platform. If you are accepting these Terms on behalf of a household, business, or other entity, you represent and warrant that you have the authority to bind that household, business, or entity to these Terms.
Please read these Terms carefully. They include important information about your rights, obligations, and our mutual responsibilities.
1. Definitions
To make these Terms easier to follow, here is what certain words mean throughout this document:
"Account Holder" means the adult individual (18 years of age or older) who creates and maintains a subscription account on the Platform and is responsible for all activity under that account, including activity by Household Members.
"Household Members" means any individuals added to an Account Holder's household profile, including spouses, partners, children, dependents, and other family members of any age.
"Subscriber" means any Account Holder with an active, paid subscription to the Platform.
"Contractor" means an independent service provider who has been verified and approved by Neighborhood Value Plus to perform neighborhood maintenance services coordinated through the Platform.
"Youth Provider" means a teen between the ages of 14 and 17 who has been approved by their parent or legal guardian to offer services through the Youth Services Marketplace.
"Neighborhood Cluster" means a defined geographic area of approximately 300 to 500 households served by the Platform.
"XP" or "Experience Points" means the virtual point system used within the Platform's gamification features to track engagement, unlock achievements, and determine leaderboard rankings.
"Content" means any text, photos, videos, issue reports, votes, comments, reviews, profiles, or other materials you submit, post, or transmit through the Platform.
"Services" means the neighborhood maintenance, improvement, and community coordination services facilitated through the Platform, including but not limited to graffiti removal, security patrols, weed clearing, grass restoration, vacant property cleanup, homeless outreach intervention, and sidewalk and street maintenance.
2. Eligibility and Account Registration
Who Can Use the Platform
Account Holders must be at least 18 years old and legally capable of entering into a binding agreement. By creating an account, you represent that you are at least 18 years of age.
Household Members of any age may be added to an Account Holder's household profile by the Account Holder. The Account Holder is solely responsible for all Household Member profiles and activity.
Children under 13 may be added as Household Members by the Account Holder but do not have independent access to the Platform. All information about children under 13 is entered and managed exclusively by the Account Holder.
Teens ages 13-17 may be added as Household Members and may access limited Platform features with verified parental or guardian consent provided by the Account Holder.
Youth Providers (ages 14-17) may participate in the Youth Services Marketplace only with verified parental or guardian consent provided through the Platform's approval workflows. The Account Holder must approve all youth service activity before the teen can accept bookings.
Creating Your Account
You must provide accurate, complete, and current information when creating your account. You agree to update this information promptly if it changes.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You must notify us immediately at support@neighborhoodvalueplus.com if you believe your account has been compromised or accessed without authorization.
You may not create more than one account per household unless authorized by Neighborhood Value Plus LLC.
Neighborhood Value Plus LLC reserves the right to suspend or terminate any account that provides false or misleading information, or that violates these Terms.
Address Verification
All Subscribers must provide a valid residential address within a Neighborhood Value Plus service area. We may verify your address through our verification system, which may include AI-assisted document review.
If your address cannot be verified, your account may be suspended until verification is completed.
Providing a false address is a violation of these Terms and may result in immediate account termination.
3. Subscription Plans and Billing
Available Plans
Neighborhood Value Plus offers the following residential subscription plans (pricing is subject to change with 30 days' written notice):
Standard Starter Plan: $35.00 per month
Community Heroes Plan: $25.00 per month (subject to eligibility requirements as described on our pricing page)
Additional subscription tiers, including business sponsorship plans and special promotional plans, may be available and will be described on our website and pricing page. Current business subscription plans start at $200.00 per month.
Billing and Payment
All subscription payments are processed securely through Stripe. By subscribing, you authorize Neighborhood Value Plus LLC to charge your selected payment method on a recurring monthly basis.
Your subscription will automatically renew each month on the anniversary of your subscription start date unless you cancel before the renewal date.
Subscription fees are charged in advance for each monthly billing period.
If your payment method is declined, we will attempt to process the charge again. If payment cannot be collected after reasonable attempts, your account may be suspended until payment is resolved.
All prices are listed in U.S. dollars and are exclusive of any applicable taxes. You are responsible for any taxes imposed on your subscription.
Free Trial
Neighborhood Value Plus may offer a free trial period for new Subscribers. The length and terms of any free trial will be communicated at the time of sign-up.
At the end of the free trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial period ends.
Free trial availability and duration are determined at the sole discretion of Neighborhood Value Plus LLC and may be modified or discontinued at any time.
Cancellation and Refunds
You may cancel your subscription at any time through your account settings or by contacting support@neighborhoodvalueplus.com.
Cancellation takes effect at the end of your current billing period. You will continue to have access to the Platform until the end of the period you have already paid for.
We do not offer prorated refunds for partial months. If you cancel mid-month, you retain access through the end of that billing cycle.
Neighborhood Value Plus LLC reserves the right to offer refunds or credits at its sole discretion on a case-by-case basis.
If Neighborhood Value Plus LLC terminates your account for a reason other than a violation of these Terms, you will receive a prorated refund for any unused portion of your current billing period.
Price Changes
Neighborhood Value Plus LLC may change subscription prices at any time. We will provide at least 30 days' advance written notice of any price changes via email and/or in-app notification.
If you do not agree with a price change, you may cancel your subscription before the new price takes effect.
Continued use of the Platform after a price change takes effect constitutes your acceptance of the new pricing.
4. The Platform and Services
What We Provide
Neighborhood Value Plus is a community coordination platform that connects neighborhoods with verified independent Contractors for maintenance and improvement services. The Platform provides:
A democratic voting system where Subscribers prioritize neighborhood issues
Coordination of neighborhood maintenance services including graffiti removal, weed clearing, security patrols, grass restoration (brown and patchy grass only — not full lawn care), vacant property cleanup, homeless outreach intervention, and sidewalk and street maintenance
A gamification system with XP, achievements, levels, and leaderboards
Community features including Skill Swap, Time Bank, Quick Connect Cards, Micro-Events, Pet Center, Emergency Network, Neighbor Marketplace, and community chat
A Youth Services Marketplace for teens ages 14-17 with parental approval
Lifestyle Lottery with monthly drawings for active Subscribers
A Referral Program with rewards for successful neighbor referrals
Safety alerts, lost pet notifications, and emergency communication tools
What We Are NOT
We are not a service provider. Neighborhood Value Plus LLC is a coordination platform. We do not directly employ the Contractors who perform services. Contractors are independent professionals who operate their own businesses.
We are not an employer. Contractors, Youth Providers, and all service providers on the Platform are independent parties. Neighborhood Value Plus LLC does not control how, when, or where Contractors perform their work, consistent with California Assembly Bill 5 (AB5) and applicable labor laws.
We are not an insurer or guarantor. While we verify Contractor credentials, maintain quality standards, and facilitate community quality voting, we do not guarantee the outcome, timeliness, or quality of any specific service. We are not liable for property damage, personal injury, or any other loss arising from services performed by Contractors or Youth Providers.
We are not a financial advisor. Any projections, estimates, or calculations provided through the Platform (such as property value impact estimates or cost calculators) are for informational purposes only and should not be relied upon as financial advice.
We are not a government agency. The services coordinated through our Platform supplement, but do not replace, municipal services. We do not have the authority to enforce laws, issue citations, or take governmental action.
Service Availability
The specific Services available in your neighborhood depend on the number of active Subscribers in your Neighborhood Cluster. This is our penetration-based service unlock model: as more households in your area subscribe, additional services become available to the entire cluster.
Neighborhood Value Plus LLC does not guarantee that any specific service will be available in your area at any given time. Service availability is subject to Contractor availability, seasonal conditions, and subscriber density thresholds.
Certain premium services (such as minor sidewalk and street repairs and major property cleanups) are limited to a maximum number of occurrences per neighborhood per month. These limitations are described on our website and within the Platform.
Neighborhood Value Plus LLC reserves the right to modify, add, or discontinue specific services at any time with reasonable notice to affected Subscribers.
5. The Voting System
How Voting Works
Each subscribing household receives a set number of votes per month to prioritize neighborhood issues. The number of votes depends on your subscription plan.
Votes are used during monthly voting cycles to determine which reported issues receive priority attention from Contractors.
Votes expire at the end of each voting cycle and cannot be accumulated beyond the maximum carryover allowed by your plan, if applicable.
Vote weighting may be adjusted based on factors including subscription plan tier and tenure within the Platform, as described in the Platform's voting rules.
Voting Rules
Each household may cast only the number of votes allocated to their subscription plan per voting cycle.
Attempting to manipulate the voting system, including creating duplicate accounts to gain additional votes, coordinating vote trading, or using automated tools to cast votes, is a violation of these Terms and may result in immediate account termination.
Voting results determine service prioritization and Contractor assignment. Neighborhood Value Plus LLC reserves the right to override voting results in emergency situations or when public safety is at risk.
After a Contractor completes a service, the community may participate in a quality vote to assess the work. Quality votes influence Contractor ratings and may affect future Contractor assignments and compensation.
6. Gamification, XP, and Rewards
The XP System
Subscribers and Household Members earn XP through Platform activities including reporting issues, voting, completing profile information, referring neighbors, participating in community events, and other engagement activities.
XP accumulation determines your level, title, and leaderboard ranking within your Neighborhood Cluster.
XP has no cash value and cannot be exchanged for money, transferred between accounts, or redeemed outside the Platform except through official reward programs (such as Tremendous gift card rewards at designated milestones).
Neighborhood Value Plus LLC reserves the right to modify XP earning rates, level thresholds, achievement criteria, and reward structures at any time. We will provide reasonable notice of material changes.
Lifestyle Lottery
The Lifestyle Lottery is a monthly drawing available to active Subscribers. Eligibility, entry criteria, prize details, and drawing procedures are described within the Platform and may change from month to month.
The Lifestyle Lottery is funded through business sponsorships and Platform revenue. Prizes are provided "as is" and may include gift cards, local service credits, or other items.
Neighborhood Value Plus LLC is not responsible for any tax obligations arising from Lifestyle Lottery winnings. Winners are responsible for reporting and paying applicable taxes on prizes received.
The Lifestyle Lottery is void where prohibited by law. Neighborhood Value Plus LLC reserves the right to modify or discontinue the Lifestyle Lottery at any time.
Referral Program
Subscribers may earn referral rewards by inviting new households to join the Platform using their unique referral code.
Referral reward amounts, eligibility requirements, retention periods, and payout terms are described on our website and within the Platform. Rewards may include cash, gift cards, subscription credits, or XP bonuses.
Referral rewards are contingent on the referred household maintaining an active, paid subscription for a minimum retention period as specified in the program terms. If the referred household cancels before the retention period ends, the referral reward may be clawed back or forfeited.
Attempting to abuse the referral system, including creating fake accounts, self-referrals, or offering unauthorized incentives, is a violation of these Terms.
Neighborhood Value Plus LLC reserves the right to modify, suspend, or terminate the Referral Program at any time with reasonable notice.
7. Youth Services Marketplace
Overview
The Youth Services Marketplace allows teens ages 14-17 to offer services to neighbors within their Neighborhood Cluster, including pet care, tutoring, tech help, errands, and yard work (excluding power equipment for those under 16).
Parental Consent and Responsibility
A parent or legal guardian (the Account Holder) must provide verified consent before any teen can participate in the Youth Services Marketplace. This consent is provided through the Platform's parental approval workflow.
The Account Holder is solely responsible for determining which services their teen may offer and for supervising their teen's participation to the extent they deem appropriate.
The Account Holder receives notifications of all booking requests, completed services, and payments involving their teen.
The Account Holder may withdraw consent and deactivate their teen's Youth Services profile at any time.
Youth Provider Rules
Youth Providers must accurately represent their age, skills, and availability.
Youth Providers under 16 may not operate power lawn equipment or other motorized tools.
Youth Providers must comply with all applicable local, state, and federal labor laws and regulations, including work hour restrictions for minors.
Youth provider contact information is never shared directly with other users. All communications are routed through the parent or guardian.
Payments to Youth Providers
Payments for youth services are processed through Stripe. The Platform retains a coordination fee (currently 15%) from each youth service transaction.
Payments are directed to the Account Holder's payment method on file, not directly to the teen.
The Account Holder is responsible for any tax reporting obligations related to their teen's earnings through the Platform.
Limitation of Liability for Youth Services
Neighborhood Value Plus LLC acts solely as a coordination platform for Youth Services. We do not employ, supervise, or control Youth Providers.
Neighborhood Value Plus LLC is not responsible for the quality, safety, or outcome of services performed by Youth Providers.
By allowing your teen to participate as a Youth Provider, or by booking a Youth Provider for a service, you acknowledge and accept these limitations.
8. Family Accounts and Household Members
Adding Household Members
Account Holders may add Household Members of any age to their account profile. This includes spouses, partners, children (including infants and toddlers), dependents, and other individuals who reside in the household.
The Account Holder is solely responsible for the accuracy of all information entered for Household Members and for all activity conducted by or on behalf of Household Members through the Platform.
Adding a Household Member does not create a separate subscription or independent account. All Household Members are covered under the Account Holder's single subscription.
Household Member Responsibilities
Account Holders are responsible for ensuring that all Household Members who access the Platform comply with these Terms.
Account Holders are liable for any violations of these Terms committed by their Household Members.
If a Household Member is under 18, the Account Holder is solely responsible for monitoring and managing that individual's use of the Platform.
Removing Household Members
Account Holders may remove Household Members from their account at any time through the Platform or by contacting support@neighborhoodvalueplus.com.
When a Household Member is removed, their profile data is deleted in accordance with our Privacy Policy.
XP earned by or attributed to a removed Household Member does not transfer and is forfeited.
9. Contractor Relationships
Independent Contractor Status
All Contractors on the Neighborhood Value Plus platform are independent businesses and are NOT employees, agents, or representatives of Neighborhood Value Plus LLC.
Neighborhood Value Plus LLC serves as a coordination platform that connects neighborhoods with Contractors. We do not control how, when, or where Contractors perform their work.
This independent contractor structure is maintained in compliance with California Assembly Bill 5 (AB5) and applicable federal and state labor laws.
Contractor Verification
Neighborhood Value Plus LLC verifies Contractor credentials, including business licenses, insurance coverage, and relevant certifications, before approving them for the Platform.
While we take reasonable steps to verify Contractor qualifications, we do not guarantee the accuracy or completeness of any Contractor's credentials, and we are not responsible for any acts or omissions of Contractors.
Service Quality and Community Voting
After a Contractor completes a service, the community may participate in a quality assessment vote. These votes affect Contractor ratings and future assignments.
If a Contractor consistently receives poor quality ratings, Neighborhood Value Plus LLC may reassign the Contractor, place them on probation, or remove them from the Platform.
Neighborhood Value Plus LLC reserves the right to make final decisions regarding Contractor assignments and removals, regardless of community vote outcomes, when necessary to ensure safety or service quality.
Contractor Payments
Contractors are paid through Stripe Connect based on the scope of services performed, as determined by the service agreements coordinated through the Platform.
Neighborhood Value Plus LLC retains a coordination fee from each contractor payment (currently 10% of the job value).
Contractor payment terms, schedules, and dispute processes are governed by separate Contractor agreements and are not part of these Terms.
10. Pet Center
Pet Registration
Account Holders may register pets of any species through the Pet Center feature. Registration information may include pet name, species, breed, age, photos, health notes, microchip status, veterinarian details, and emergency contacts.
Pet registration is optional but required to access features such as lost pet alerts, playdate coordination, and pet care services through the Youth Services Marketplace.
Lost Pet Alerts
When a pet is marked as lost, the Platform may send alerts to other Subscribers in the neighborhood. These alerts may include the pet's photo, name, breed, and general location.
Neighborhood Value Plus LLC does not guarantee the recovery of any lost pet and is not liable for any loss, injury, or damage related to a lost pet situation.
Pet Services
Pet care services available through the Youth Services Marketplace or Skill Swap are coordinated between individual users. Neighborhood Value Plus LLC does not provide, supervise, or guarantee pet care services.
Account Holders are responsible for ensuring their pets are safe for interaction with service providers and other community members.
11. User Content and Conduct
Your Content
You retain ownership of all Content you submit to the Platform.
By submitting Content, you grant Neighborhood Value Plus LLC a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, display, distribute, and create derivative works of your Content solely in connection with operating, improving, and promoting the Platform.
You represent that you have the right to submit all Content you post and that your Content does not violate any third party's rights, including intellectual property, privacy, or publicity rights.
Acceptable Use
You agree not to use the Platform to:
Submit false, misleading, or fraudulent information, including fake issue reports or false address information
Harass, bully, threaten, defame, or discriminate against any other user, Contractor, or community member
Impersonate any person or entity, or falsely represent your affiliation with any person or entity
Submit Content that is obscene, sexually explicit, violent, hateful, or that promotes illegal activity
Attempt to manipulate the voting system, XP system, referral program, or Lifestyle Lottery through fraudulent means
Use automated tools, bots, scrapers, or other software to access or interact with the Platform without our express written permission
Interfere with or disrupt the operation of the Platform, including overloading servers, sending spam, or introducing malicious code
Collect, harvest, or store personal information of other users without their express consent
Use the Platform for any purpose that is illegal under local, state, federal, or international law
Solicit other Subscribers or Contractors for services or transactions outside the Platform in a manner designed to circumvent Platform fees or protections
Post commercial advertisements, promotions, or solicitations without authorization from Neighborhood Value Plus LLC
Content Moderation
Neighborhood Value Plus LLC reserves the right, but is not obligated, to review, monitor, and remove any Content at our sole discretion.
We may remove Content that violates these Terms, our community guidelines, or applicable law.
We may suspend or terminate the accounts of users who repeatedly violate these Terms or engage in harmful conduct.
12. Intellectual Property
Our Intellectual Property
The Platform, including its design, features, functionality, software, graphics, logos, trademarks, trade names, service marks, and all associated intellectual property, is owned by Neighborhood Value Plus LLC or its licensors and is protected by United States and international intellectual property laws.
"Neighborhood Value Plus," the Neighborhood Value Plus logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Neighborhood Value Plus LLC. You may not use these marks without our prior written permission.
You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works based on any part of the Platform without our express written consent.
Feedback
If you provide suggestions, ideas, feedback, or recommendations about the Platform ("Feedback"), you agree that Neighborhood Value Plus LLC may use such Feedback without restriction, compensation, or obligation to you.
13. Third-Party Services and Links
The Platform integrates with and may contain links to third-party services, including Stripe, Twilio, Mapbox, Tremendous, and others. These integrations are subject to the third party's own terms of service and privacy policies.
Neighborhood Value Plus LLC is not responsible for the availability, accuracy, content, or practices of any third-party services.
Your use of any third-party services accessed through the Platform is at your own risk and subject to the applicable third party's terms and conditions.
14. Disclaimer of Warranties
THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEIGHBORHOOD VALUE PLUS LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE PLATFORM
WARRANTIES REGARDING THE QUALITY, TIMELINESS, OR OUTCOME OF ANY SERVICES PERFORMED BY CONTRACTORS OR YOUTH PROVIDERS
NEIGHBORHOOD VALUE PLUS LLC DOES NOT WARRANT OR GUARANTEE THAT USE OF THE PLATFORM WILL INCREASE YOUR PROPERTY VALUE, REDUCE CRIME IN YOUR NEIGHBORHOOD, OR PRODUCE ANY SPECIFIC OUTCOME.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEIGHBORHOOD VALUE PLUS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:
ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM
ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES
ANY DAMAGES ARISING FROM THE ACTS OR OMISSIONS OF CONTRACTORS, YOUTH PROVIDERS, OR OTHER USERS
ANY DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR ACCOUNT OR DATA
ANY DAMAGES ARISING FROM SERVICE DELAYS, INTERRUPTIONS, OR FAILURES
IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF NEIGHBORHOOD VALUE PLUS LLC EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO NEIGHBORHOOD VALUE PLUS LLC IN SUBSCRIPTION FEES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.
16. Indemnification
You agree to indemnify, defend, and hold harmless Neighborhood Value Plus LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
Your use of the Platform or violation of these Terms
Content you submit to the Platform
Your violation of any law, regulation, or third-party right
Any activity conducted by Household Members under your account
Any dispute between you and a Contractor, Youth Provider, or other user
Any activity conducted by a teen you have authorized to participate in the Youth Services Marketplace
Any pet-related incidents involving pets you have registered on the Platform
17. Dispute Resolution
Informal Resolution First
Before filing any formal legal proceeding, you agree to first try to resolve any dispute informally by contacting us at legal@neighborhoodvalueplus.com. We will try to resolve the dispute within 30 days. Most neighbor concerns can be resolved quickly through direct communication.
Binding Arbitration
If we cannot resolve a dispute informally, you and Neighborhood Value Plus LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
The arbitration shall take place in Portland, Oregon, unless you and Neighborhood Value Plus LLC agree to a different location or to proceed remotely.
The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.
Each party shall bear its own costs and fees associated with the arbitration, except as otherwise provided by the AAA's rules or applicable law.
Class Action Waiver
YOU AND NEIGHBORHOOD VALUE PLUS LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
Exceptions
The following are not subject to the arbitration requirement:
Small claims court actions, provided the claim falls within the court's jurisdictional limits
Actions to seek injunctive or equitable relief for intellectual property infringement or unauthorized use of the Platform
Any claims that cannot be subject to arbitration under applicable law
Opt-Out Right
You may opt out of this arbitration agreement by sending written notice to legal@neighborhoodvalueplus.com within 30 days of creating your account. If you opt out, disputes will be resolved in the state or federal courts located in Multnomah County, Oregon.
18. Governing Law and Jurisdiction
These Terms and any dispute arising from your use of the Platform shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of laws principles. For any dispute not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Multnomah County, Oregon.
19. Termination
Termination by You
You may terminate your account and subscription at any time as described in Section 3 (Cancellation and Refunds).
Termination by Neighborhood Value Plus LLC
Neighborhood Value Plus LLC may suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:
Violation of these Terms or any applicable law
Fraudulent, abusive, or harmful conduct
Failure to pay subscription fees after reasonable notice
Extended inactivity (accounts inactive for more than 12 consecutive months)
Request by law enforcement or government agencies
Discontinuation of the Platform or material modification of Platform features
Effects of Termination
Upon termination:
Your access to the Platform and all associated features will be immediately revoked
Any unused XP, achievements, levels, votes, and Lifestyle Lottery entries are forfeited and have no cash value
Any pending referral rewards that have not yet been paid out are forfeited
Household Member profiles associated with your account will be deactivated
Your personal data will be handled in accordance with our Privacy Policy, including deletion within 90 days except as required by law
Any outstanding payment obligations remain due
Sections of these Terms that by their nature should survive termination will remain in effect, including Sections 11 (User Content), 12 (Intellectual Property), 14 (Disclaimer), 15 (Limitation of Liability), 16 (Indemnification), 17 (Dispute Resolution), and 18 (Governing Law)
20. Modifications to the Terms
Neighborhood Value Plus LLC reserves the right to modify these Terms at any time. When we make material changes, we will:
Post the updated Terms on our website with a new "Last Updated" date
Notify active Subscribers via email and/or in-app notification
Provide at least 30 days' notice before material changes take effect
Your continued use of the Platform after the effective date of updated Terms constitutes your acceptance of the changes.
If you do not agree with updated Terms, you must stop using the Platform and cancel your subscription before the changes take effect.
21. Business Sponsorship Terms
Business Subscribers and Sponsors
Businesses may subscribe to Neighborhood Value Plus at designated business subscription rates. Business subscriptions are governed by these Terms and any additional terms included in a written business sponsorship agreement.
Business sponsors may receive recognition within the Platform, on the Neighborhood Value Plus website, and in community communications, as described in their sponsorship tier agreement.
Business sponsorship does not entitle the sponsor to access individual Subscriber data, influence voting outcomes, or receive preferential treatment in service delivery.
Business sponsorship funds support community services, Lifestyle Lottery prizes, and Platform operations.
22. Force Majeure
Neighborhood Value Plus LLC shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemics, epidemics, civil disturbances, war, terrorism, labor disputes, utility failures, cyberattacks, or disruptions to third-party services on which the Platform relies.
23. Miscellaneous
Entire Agreement
These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Neighborhood Value Plus LLC regarding your use of the Platform. They supersede all prior or contemporaneous agreements, representations, and understandings.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.
Waiver
The failure of Neighborhood Value Plus LLC to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Neighborhood Value Plus LLC.
Assignment
You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Neighborhood Value Plus LLC. Neighborhood Value Plus LLC may assign its rights and obligations under these Terms without restriction.
Notices
Notices to you may be provided via email to the address associated with your account, via in-app notification, or via SMS to the phone number on file. Notices to Neighborhood Value Plus LLC should be sent to legal@neighborhoodvalueplus.com or mailed to our physical address.
Headings
Section headings in these Terms are for convenience only and have no legal or contractual effect.
No Third-Party Beneficiaries
These Terms are for the benefit of you and Neighborhood Value Plus LLC only. No third party has any rights or remedies under these Terms, except as expressly stated.
